Attorney - Contracts Specialization

Job Description:

SUMMARY The Law Department at Tempur-Pedic is functionally responsible for the legal affairs of the company, both domestically and internationally. It provides a broad range of legal support covering all aspects of the business. It manages the company’s intellectual property portfolio, assists with corporate transactions and governance, ensures compliance with securities laws, defends the company in legal matters, and counsels on legislation and government relations.

Essential Duties:

JOB CATEGORY: This position is a six (6) month contract position.

ESSENTIAL DUTIES AND RESPONSIBILITIES include the following. Other duties may be assigned.

•Manages company’s day-to-day contract needs
•Provides support to managers by preparing, reviewing and revising contracts.
•Oversight of retail partner terminations and other proceedings. Develops notification letters, amendments or contract revisions as required.
•Manage and oversee execution of a comprehensive intellectual property strategy for the company
•Coordinates patent committee meetings
•Conducts and manages a wide variety of patent investigations, including opinion letters, freedom to practice studies, landscape studies, and due diligence investigations
•Oversees patent enforcement activities
•Oversees a wide variety of regulatory matters, which may include matters involving federal, state and local laws regulating the bedding/furniture industry, the Consumer Products Safety Commission, U.S. Customs, product safety, integrity and environmental law
•Participates in the legal analysis of intellectual property and patent work, including filings.

Experience & Other Requirements:

EDUCATION and/or EXPERIENCE

Education: J.D and a member in good standing of at least one state bar, Kentucky preferred
Work Experience:
•A minimum of 5 years experience in general business law with concentrations in contract review, and general IP / SOX issues.
•Candidates should be comfortable with business negotiations and agreements for a growing marketing and sales based company. International experience is a plus.
•Experience with Intellectual Property and Patents is a plus.
•Ability to rapidly assess potential risks, potential benefits and potential consequences of decisions.
•Ability to appropriately balance legal and business risks while complying with short turnaround cycles.
•Demonstrated proficiency with MS Office Suite
•Highly developed analytical reasoning, attention to detail and applied learning skills.
•Candidate must be a strong written and oral communicator, with the highest degree of integrity and ability to maintain proprietary items in confidence
•Ability to prioritize multiple responsibilities and process high volumes of work in a timely and accurate manner.
